Licensor Materials definition

Licensor Materials means any software, programs, tools, systems, data, Licensor and/or Managed Service Provider Confidential Information or other materials made available by the Licensor and/or the Managed Service Provider to the End User in the course of the performance of this Agreement including, but not limited to, the Software, the Documentation, subscription services and APIs, as well as any information, materials or feedback provided by the End User to the Managed Service Provider and/or Licensor relating to the Software, Documentation, subscription services and APIs;

Licensor Materials means all chemical, biological or physical materials other than Collaboration Compounds that are Controlled by Licensor or any of its Affiliates, as of the Effective Date or at any time thereafter during the Term, and that are necessary or useful in the research, Development, Manufacture, use or Commercialization of the Collaboration Compound or Product. The Licensor Materials set forth on Schedule 1.54 constitute all Licensor Materials as of the Effective Date.

Licensor Materials means all Materials that are Controlled by Licensor or any of its Affiliates as of the Execution Date or at any time thereafter during the Term and that are necessary for the Development, manufacture, use or Commercialization of the Licensed Products.

Examples of Licensor Materials in a sentence

• Licensee acknowledges and agrees that the Support Services, Updates, and all other results of Support Services hereunder, and all work product and deliverables thereof (collectively, the “ Licensor Materials”), are the sole and exclusive property of Licensor, including all worldwide Intellectual Property Rights embodied in, related to, or represented by, the Licensor Materials.

• Except for Add-Ons, Partner shall not modify, adapt, enhance, localize, translate or make derivatives of the Software and Licensor Materials.

• Subject to the terms of this Agreement, Licensor grants Partner during the term of this Agreement a nonexclusive, nontransferable right to use in the Territory the Test and Demonstration license described in Exhibit C-1 to the Software to develop an Integration between the Software and the Partner Products, and to make copies of the Software or other Licensor Materials for such Integration purposes.

• The Software, Licensor Materials, Modifications, and all Intellectual Property Rights embodied in the foregoing, shall be the sole and exclusive property of Licensor or its Affiliates, or their licensors.

• Neither this Agreement nor the Licensor Materials may be assigned, delegated, pledged or otherwise transferred by the End User to any party whether voluntarily or by operation of law including by way of sale of assets, merger or consolidation.

More Definitions of Licensor Materials

Licensor Materials means the Service Software, Documentation and Licensor Systems and any and all other information, data, documents, materials, works and other content, devices, methods, processes, hardware, software and other technologies and inventions, including any deliverables, technical or functional descriptions, requirements, plans or reports, that are provided or used by Licensor or any Subcontractor in connection with the Services or otherwise comprise or relate to the Services or Licensor Systems. For the avoidance of doubt, Licensor Materials include Resultant Data and any information, data or other content derived from Licensor's monitoring of Licensee's access to or use of the Services, but do not include Licensee Data.

Licensor Materials means (i) the Licensed Elements and (ii) all non separable embodiments (including embodiments of the foregoing in tools, molds, models, plates, and other manufacturing materials provided that Licensee shall retain title to the physical form of such manufacturing materials). Licensor shall have the sole right to register copyrights and trademarks in the Licensor Materials.

Licensor Materials means the specifications, schematics, technical information, bills of materials, instructions, records, drawings, data sheets, reports, hardware, firmware and other materials and technology listed in Exhibit A.

Licensor Materials means any software, programs, tools, systems, data, Licensor Confidential Information or other materials made available by Licensor to Partner in the course of the performance under this Agreement including, but not limited to, the Software, Documentation, subscription services and APIs, as well as any information, materials or feedback provided by Partner to Licensor relating to the Software, Documentation, subscription services and APIs. “许可方材料”是指许可方在履行本协议过程中向合作伙伴提供的任何软件、程序、工具、系统、数据、许可方的保密信息或其他材料，包括但不限于软件、文档、租用服务和 API 以及合作伙伴就软件、文档、租用服务和API 向许可方提供的任何信息、材料或反馈。

Licensor Materials means the materials set forth on Schedule 1.43.

Licensor Materials means any and all of the API, Data, Key, and the Specifications (including any portions, copies, extracts, derivatives, modifications, and reformatted versions thereof) and any related data, information, and materials made available by or on behalf of Licensor to Licensee pursuant to these API License Terms or otherwise in connection with the Data.

Licensor Materials means all physical quantities of Compounds set forth on SCHEDULE 3 hereto (which is correct as of the Effective Date); provided, that no physical quantities of FBPase Compounds shall be included in this definition if the Option expires prior to the payment of the Exercise Fee by Viking. Promptly following payment of the Exercise Fee, Licensor shall update SCHEDULE 3 to include all physical quantities of FBPase Compounds.
