Licensing Transaction definition

Licensing Transaction has the meaning set forth in Section 12.3(d)(ii)(C).

Licensing Transaction means (a) a license to a Third Party of any of the APL Restricted Intellectual Property in the US or Europe, (b) a sublicense to a Third Party of any of the APL Restricted Intellectual Property in the US or Europe or (c) a sale or transfer to a Third Party of any of the APL Restricted Intellectual Property in the US or Europe or an assignment of either of the Penn Licenses to a Third Party.

Licensing Transaction means a transaction, approved by Borrower’s Board of Directors (including the affirmative vote of at least one PharmaBio Director), by which Borrower licenses, controls or otherwise gains rights to a Product.

Examples of Licensing Transaction in a sentence

• The BITS database will generate a BCAL-3706 (Children’s Foster Home Licensing Transaction Record) showing the enrollment status of the application and the assigned license number.

• If the Majority Investors do not provide an Objection Notice within such ten (10) Business Day period, then the Majority Investors shall be deemed to have consented to the applicable Licensing Transaction and all obligations of Stealth under this Section 2.11 shall terminate.

Licensing Transaction means the out-licensing of the commercialization rights of the Borrower for its plasma-derived therapeutics designated as RYPLAZIM™ (plasminogen).
