Without the consent of the Representative, the Company shall not amend, modify, waive or terminate any provision of any of the lock-up agreements entered into in connection with the Licensing Transaction except to extend the term of the lock-up period and shall enforce the provisions of the lock-up agreements in accordance with their terms.
The termination of the Licensing Transaction will be effective as of the date of the court approval.
