Licensed Technical Information definition

Licensed Technical Information means unpublished research and development information, unpatented inventions, know-how, trade secrets, and technical data now or hereafter in the possession of Licensor that are reasonably necessary for using the Licensed Patents to produce Licensed Products in accordance with this Agreement, provided Licensor has the right to disclose such items to Licensee.
Licensed Technical Information means the information identified in Section 5.3 of the Business Terms.
Licensed Technical Information means specifications and technical documents relating to the manufacture, operation, use and implantation of the Implant (including all prior versions and the most current version of it) that are in the possession of ENCORE or its employees, representatives or agents on or before the Effective Date including, without limitation, FDA design control documents DHF, DMR (design requirement and criteria, specified requirements, V&V, design transfer), clinical data and implant follow-ups and manufacturing specifications and know-how.

  • Licensee acknowledges and agrees that the Licensed Technical Information derives economic value from not being generally known to other persons who can obtain economic value from its disclosure or use.

  • Within fifteen (15) days after termination of this Agreement, Licensee shall return to Licensor all Licensed Technical Information and other Confidential Information of Licensor then in its possession, custody or control.

  • Any reasonable costs associated with the assembling, copying and delivering of such requested Licensed Technical Information shall be borne by Seller.

  • Mount Sinai shall have a non-exclusive, world-wide, perpetual, non-cancelable, royalty-free, fully paid-up license, with right to sublicense, to use such Licensed Product Data to further advance the development of Mount Sinai technologies (e.g. the Exclusively Licensed Technical Information and Know-How).


More Definitions of Licensed Technical Information

Licensed Technical Information means: (i) all Technical Information (other than that which is Transferred Other Business IPR And Technical Information) that, as of the Closing Date, is related to, used in, or necessary for the operation of the Business, including the development, manufacture, use, distribution, sale, support or other exploitation of the Products, including all Technical Information described or listed in Schedule A hereto; (ii) any Technical Information disclosed to, or learned by, the Purchaser as a result of the transactions contemplated hereby, including the employment by the Purchaser of the Transferred Employees; and (iii) owned or licensable. "Transferred Other Business IPR And Technical Information" shall mean any and all Other IPR and Technical Information which is (i) owned by Seller or its Affiliates and (ii) originated solely within the Business prior to the Closing Date.
Licensed Technical Information means any and all ImmuPharma Technical Information and Third Party Technical Information.
Licensed Technical Information means LICENSOR’s rights in any technical information, KNOW-HOW, processes, procedures, compositions, devices, methods, formulae, protocols, techniques, software, designs, drawings or data which are not claimed in LICENSED PATENTS but that are necessary or useful for practicing LICENSED PATENTS.

For the purposes of this agreement UB-B2 like data is defined as information about specific patients regarding their admissions to hospitals that includes their diagnoses, Procedures, mute of admission and discharge, and the charges associated with hospital stays. It does not include information about out-patients, resource use, test results, treatment or intentions. Licensed Technical Information also includes the underlying models reflected in A THEORY OF FOCUSED OPERATIONS IN HEALTH CARE; RISK-ADJUSTMENTS AND MEASUREMENT OF AMBULATORY OUTCOMES; and A THEORY OF CONGESTION IN GENERAL HOSPITALS the copyright information for which is listed in Exhibit A hereto.
Licensed Technical Information means all material confidential information and tangible materials related to the development, manufacture, sale or use of a Compound or a Product, including, but not limited to: pharmaceutical, chemical, biological and biochemical compositions; and technical data and information; available descriptions, if any, of assays, methods and processes; the results of tests, including without limitation screening results, SAR data, optimization data, in vitro and in vivo data; preclinical, clinical and research, manufacturing processes and procedures; analytical and quality control data; and plans, specifications and/or other documents containing said information and data; in each case which are owned or acquired by MG prior to the Effective Date or discovered, developed or acquired by or under authority of MG or its Affiliates during the term of this Agreement.
Licensed Technical Information means unpublished research and development information, unpatented inventions, know‑how, formulations, trade secrets, and technical data now or hereafter in the possession of Licensor or obtainable by Licensor from LMCE or its subsidiaries that are reasonably necessary or useful for using the Licensed Patents to produce Licensed Products within the Field, provided Licensor has the right to disclose such items to Licensee.
Licensed Technical Information means Information, including Information relating to IP Cores, owned by Seller or for which Seller has a right to license to Buyer without any cost to Seller (subject to Section 14.04); that is or has been used in or is necessary for the use in the operation of the FPGA/FPSC Business or that is necessary for the use of IP Cores listed in Appendix C or K in FPGA and FPSC products within the Licensed Field and which is not Assigned Technical Information, including the Information identified herein in Appendix E.
