Licensed Products and Services definition

Licensed Products and Services means those products and services that use, practice or incorporate the Licensor’s Intellectual Property or Technology.

Licensed Products and Services has the meaning ascribed to it in Section 4(a) of this Agreement.

Licensed Products and Services means each product manufactured, assembled, offered, sold, distributed or otherwise commercialized and each service offered, provided or otherwise commercialized, in each case by or on behalf of the Moon Business as of immediately prior to the Distribution Time, that contains, bears, displays, uses or is offered, sold, distributed, provided or otherwise commercialized under any Licensed Trademarks.

• The warranty and indemnification provisions of Sections 4 and 5 hereof state the entire liability of PTC, its subsidiaries and affiliates, and each of their respective directors, officers, employees or agents, with respect to the Licensed Products and Services, including (without limitation) any liability for breach of warranty, or for infringement or alleged infringement of patent, copyrights, trademarks, trade secrets and other intellectual or proprietary rights by the Licensed Products, or their use.

• Licensee shall use the Licensed Products and Services only for the internal business purposes of Licensee.

• Licensee shall hold PowerSchool harmless from claims for damages resulting from Licensee’s misuse of the Licensed Products and Services, including PowerSchool’s intellectual property.

• The warranty and indemnification provisions of Sections 5 and 6 hereof state the entire liability of PTC, its subsidiaries and affiliates, and each of their respective directors, officers, employees or agents, with respect to the Licensed Products and Services, including (without limitation) any liability for breach of warranty, or for infringement or alleged infringement of patent, copyrights, trademarks, trade secrets and other intellectual or proprietary rights by the Licensed Products, or their use.

• Notwithstanding the foregoing notice procedures, the Parties acknowledge that notices regarding the ordinary usage of the Licensed Products and Services may be sent through the usual and customary means that the parties establish for such communications, including electronic communications.

More Definitions of Licensed Products and Services

Licensed Products and Services means products and services of Licensee that practice one or more claims of one or more Licensed Patents of a Licensor.

Licensed Products and Services means, with respect to a particular Licensee, any and all Products and Services of such Licensee. For the avoidance of doubt, if a particular Licensee is in the business of hosting third party services for third parties, which services are offered and sold by such third parties to their customers, then any such third party service, or products sold through such third party service, are not considered to be Licensed Products or Services of such Licensee simply on the basis of such hosting.

Licensed Products and Services means (i) any and all processes, activities, software, programs, machines, articles of manufacture, compositions of matter and any other products or services marketed under Sony Trademarks, (ii) any finished self-contained consumer electronic hardware appliance (such as TVs, set-top boxes, and portable CD players) that are made by Sony and distributed to a third party for distribution by such third party under such third party’s trademark, provided that such devices are substantially the same as an equivalent appliance distributed by Sony under a Sony Trademark (such as a finished DRM-enabled portable disc player made by Sony and distributed to Sharp Corporation for sale by Sharp under a Sharp brand with only changes in outside appearance and branding, provided that Sony also distributes a substantially similar disc player under a Sony Trademark); and (iii) Licensed Products And Services also includes (and not by way of limitation), Sony Products, Sony Trust Services, Sony DRM Commercial Services, Sony Third-Party DRM Commercial Services and Sony Customer DRM Commercial Services.

Licensed Products and Services means any and all products and services in the Field, the manufacture, use, offer for sale, sale, or importation of which would, but for this Agreement, infringe a Valid Claim in a jurisdiction where such Valid Claim exists. The Licensed Products and Services include, but are not limited to, the following services and any associated products or services to the extent offered or sold in the Field: artificial lift, casing and tubing services, coiled tubing services, completion equipment and services, contract compression services, directional drilling services, downhole drilling tools, drill bits, drilling and completion fluids, floating production services, geophysical equipment and services, hydraulic fracturing, inspection and coating, land contract drilling, offshore construction services, offshore contract drilling, oil country tubular goods, petroleum aviation, production testing, rental and fishing services, rig equipment, solids control and waste management, specialty chemicals, subsea equipment, supply vessels, surface data logging, surface equipment, unit manufacturing, and well servicing, wireline logging.

Licensed Products and Services means any material, composition, drug, product or service, which incorporates or uses GPI 1485 in the Field and would constitute, or the manufacture, use, sale or importation of which would constitute, but for the licenses granted herein, an infringement of a valid, issued claim of the Licensed Patent Rights.

Licensed Products and Services means Sprint PCS Products and Services, Premium and Promotional Items, iDEN Services, iDEN Products, and Prepaid Products and Services in the Service Area.

Licensed Products and Services means (i) any and all processes, activities, software, programs, machines, articles of manufacture, compositions of matter and any other products or services marketed under KPENV Trademarks, (ii) any finished self-contained consumer electronic hardware appliance (such as TVs, set-top boxes, and portable CD players) that are made by KPENV and distributed to a third party for distribution by such third party under such third party’s trademark, provided that such devices are substantially the same as an equivalent appliance distributed by KPENV under a KPENV Trademark (such as a finished DRM-enabled portable disc player made by KPENV and distributed to Sharp Corporation for sale by Sharp under a Sharp brand with only changes in outside appearance and branding, provided that KPENV also distributes a substantially similar disc player under a KPENV Trademark); and (iii) Licensed Products And Services also includes (and not by way of limitation), KPENV Products, KPENV Trust Services, KPENV DRM Commercial Services, KPENV Third-Party DRM Commercial Services and KPENV Customer DRM Commercial Services.
