Licensed Improvements definition

Licensed Improvements shall have the meaning set forth in Section 9.1.
Licensed Improvements means those Improvements which are made: (a) to the Invention, the manufacture, use or sale of which would infringe an issued or pending claim within the Rutgers/UMDNJ Patent Rights; and (b) in the course of performing the research covered by the Research Agreement.
Licensed Improvements means any modification of the Licensed Technology related to the processes of generating molecular diversity within, on, or secreted from [*******], provided (1) that such modification is invented or developed by Maxygen or the Glaxo Wellcome Companies prior to the earlier of (i) five years from the closing of this transaction or (ii) upon the closing of an underwritten public offering of shares of Maxygen under which not less than $10 million in gross proceeds is provided to the Company and described in a U.S. or foreign patent or patent application and (2) that such modification, if unlicensed, would infringe one or more of the claims of the Licensed Patents and Applications.

  • Such Know-How, BTG Licensed Improvements and other information shall include, without limitation, all records and reports related to (i) the development of the Bulk Product, Product and/or Process, (ii) the Processing of the Bulk Product and Product, (iii) testing for compliance with the Specifications, and (iv) batch records.

  • The Parties shall, in any event, notify each other no less than annually, of whether they have made any BTG Assigned Improvements, BTG Licensed Improvements, Savient Improvements or Joint Inventions, as the case may be.

  • BTG hereby grants to Savient and, if applicable, shall cause its Affiliates to grant to Savient, a fully paid-up, royalty-free, non-exclusive license in the Territory to manufacture, have manufactured, produce, have produced, develop, have developed, use, have used, offer for sale, have offered for sale, sell, have sold, export, and have exported Bulk Product under the BTG Licensed Improvements and BTG Know-How.


More Definitions of Licensed Improvements

Licensed Improvements means all Improvements conceived, reduced to practice or otherwise acquired by the Licensor after the Effective Date that are either (a) Owned or Controlled by Licensor under the terms of the Parent License Agreement or (b) Owned or Controlled solely or jointly by Licensor pursuant to Section 6.2(b).
Licensed Improvements means all Know-How discovered, conceived, reduced to practice or otherwise developed or acquired by ALSHER or its Affiliates or any employees or agents of ALSHER or its Affiliates that constitute(s) adaptations, advances, alterations, updates, modifications, enhancements, variations or improvements to any of the technology disclosed in any of the Licensed Intellectual Property that is dependent upon the underlying Licensed Intellectual Property.
Licensed Improvements means any variations, updates, modifications, and enhancements to the Licensed Technology, including but not limited to PEA, PEA combined with Silymarin, PEA combined with opioids, PEA combined with other pain drugs including pregabalin, morphine or other and any derivatives or sub-components of PEA alone or in combination with any of the above, whether or not patentable and whether or not the subject of any Patent.
Licensed Improvements refers to all Licensee Improvements and Licensor Improvements.
Licensed Improvements means any Technologies which (a) consist of improvements, modifications, enhancements, derivatives, or revisions to the Existing Licensed Technologies, (b) are otherwise necessary to implement, or otherwise enable the Licensed Applications, which Technologies under (a) and (b) are generated, created, developed or otherwise made by or on behalf of BioIS or its Affiliates during the [***]. For clarity, any [***] Technologies developed by or on behalf of BioIS or its Affiliates during the [***] shall constitute Licensed Improvements. For clarity, BioIS is under no obligation to iRTC to make future improvements, modifications, enhancements, derivates or revisions to the Existing Licensed Technologies.
Licensed Improvements means all Improvements to the Surveyor Kits, the subject matter of the Surveyor Kit Patents, or to the Surveyor Kit Technology, in any case that are created, conceived, reduced to practice, developed, or otherwise acquired by IDT during the one (1) year period following the Effective Date.
