Licensed Assets means the Books and Records, Commercial Information, Medical Information, Know How, those Trademarks listed in Annex 1 Part B, and that is related to the commercialization and/or manufacture of the Products in the Territory and, in each case that is in existence, reasonably accessible and owned or controlled by Novartis and/or its Affiliates as at the Closing Date.

Licensed Assets means Licensed Patents and Licensed Know-How.

• Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a worldwide, perpetual license to use, access, and exploit the Licensed Assets.

Licensed Assets has the meaning set forth in the Asset Purchase Agreement.
