License-Back definition

License-Back means a worldwide, royalty-free, fully paid-up, perpetual, irrevocable, transferable, and sublicensable license to Respondent from Acquirer under any Intellectual Property included in the Ignition IGBT Assets (that is not exclusively related to the operation of the Ignition IGBT Business) for use in any business operated by Respondent that does not compete with the Ignition IGBT Business.
License-Back means a worldwide, royalty-free, fully paid-up, perpetual, irrevocable, transferable, and sublicensable license to Respondents from the Acquirer under any Specified Intellectual Property included in the CP Assets (that is not exclusively related to the operation of the CP Business) for use in any business operated by Respondents prior to the Acquisition Date that does not compete with the CP Business.
License-Back means the grants set forth in Section 6.1 subject to the restrictions and other requirements set forth therein.

License-Back means a perpetual, royalty-free license from the Acquirer for Respondents to use Intellectual Property, which Intellectual Property was delivered to or used by TRW businesses other than the TRW L&S Business prior to March 12, 2015 (which is described in Confidential Appendix A to this Decision and Order), as needed for the sole purpose of the research, development, production, manufacture, marketing, and sale of products and for such fields of use as follows:
