Level VI Status definition

Level VI Status exists at any date if, on such date, the Borrower has not qualified for Level I Status, Level II Status, Level III Status, Level IV Status or Level V Status.

Level VI Status exists at any date if, at such date, no other Status exists.

Level VI Status means none of Level I Status, Level II Status, Level III Status, Level IV Status nor Level V Status exists.

• If at any time the applicable Borrower has no Moody's Rating or no S&P Rating, Level VI Status shall exixx.

• The Utilization Fee will be calculated on the outstanding principal amount under the Credit Facility and determined in accordance with the pricing grid as follows (in basis points): Level I Status - 12.5, Level II Status - 12.5, Level III Status - 25, Level IV Status - 25, Level V Status - 40, Level VI Status - 50.

• Level VI Status will apply in the event that the Borrower is rated at or below both the Moody's and Standard & Poor's ratings set out in Level VI Status above.

• If at any time the applicable Borrower has no Xxxxx'x Rating or no S&P Rating, Level VI Status shall exist.

Level VI Status exists at any date if, on such date, the Company has not qualified for Level I Status, Level II Status, Level III Status, Level IV Status or Level V Status.

Level VI Status means none of Level I Status, Level II Status, Level III Status, Level IV Status nor Level V Status exists, but, subject to the provisions of Schedule 1, the Borrower’s S&P Rating is BBB+ or higher, its Fitch Rating is BBB+ or higher and its Xxxxx’x rating is Baa1 or higher.

Level VI Status means, on any date, the circumstance that the Consolidated Total Debt to Consolidated EBITDA Ratio is less than 1.50 to 1.00 as of such date.

Level VI Status means, on any date, the circumstance that none of Level I Status, Level II Status, Level III Status, Level IV Status or Level V Status exists and the Consolidated Total Debt to Consolidated EBITDA Ratio is greater than or equal to 3.25:1.00 as of such date.
