Unless approved by the Representative (not to be unreasonably withheld, conditioned or delayed), prior to the end of the CVR Term, the Company shall not grant any lien, security interest, pledge or similar interest solely in respect of any Legacy Assets or any Net Proceeds separate and apart from any other assets of the Company.
Except as set forth in Section 4.2(b), during and after the Legacy Assets Transaction Period, the Company shall not be required to use any efforts to pursue one or more Legacy Assets Transactions with respect to the Legacy Assets.
In particular, the Legacy Assets Consultants may be engaged by Newco to maintain (and pay all expenses associated therewith), consistent with past practices, all material documentation supporting the research and development of the Legacy Assets, the master cell bank associated with the Legacy Assets and all Parent IP Rights (and Parent IP Rights Agreements), with all such costs counting towards the CVR Expense Cap.
