Notwithstanding anything to the contrary set forth in this Lease or otherwise, except as otherwise expressly provided in the Bankruptcy Plan relative to the Tax Refund Escrow Agreement, Lessor shall not be required to pay, make or give to Tenant, and Tenant shall not be entitled to, any credits, offsets, prorations or payments of any kind or nature whatsoever on account of any payment, nonpayment or other event occurring prior to the Existing Lease Effective Date.
During the period beginning with the Lease Effective Date and ending on the last day of the Lease Term, Resident shall deposit the sum specified in Section 1 with Landlord as a security deposit, to secure complete and faithful compliance by Resident with all terms and conditions of this Lease Agreement, and of all other obligations imposed upon Resident by applicable laws.
Fifteen (15) days after the Construction Effective Date or Required Lease Effective Date, as the case may be, and on an annual basis at each policy anniversary during the respective Construction Term or the Lease Term, Lessor or Lessee, as the case may be, shall furnish to each Additional Insured, a certification of all required insurance policies in form reasonably satisfactory to the Additional Insureds.
Unless otherwise determined under Section 1.2(b), for all Investments under construction (and prior to deemed completion and in-service) begun after the Lease Effective Date, the Applicable Cost of Debt (in %) shall be equal to the actual interest rate paid by Lessor to finance the cost of constructing such Investments.
Each Party shall use commercially reasonable efforts to satisfy their respective conditions precedent to the Lease Effective Date as set forth in Schedule 5.1.
