LC Issuers definition

LC Issuers means, collectively, all of such LC Issuers.
LC Issuers means, individually or collectively as the context requires, (a) U.S. Bank (or any subsidiary or affiliate of U.S. Bank designated by U.S. Bank) and (b) such other Lenders or affiliates of a Lender as a Borrower may designate as LC Issuers from time to time with the consent of the Administrative Agent and such designated Lender or affiliate of a Lender, in each case in its capacity as issuer of Facility LCs hereunder.
LC Issuers means (i) MUFG, Royal Bank (which shall not be obligated to issue commercial letters of credit), and U.S. Bank, each in their separate capacity as an issuer of Facility LCs pursuant to Section 2.20 with respect to each Facility LC issued or deemed issued by MUFG, Royal Bank, and U.S. Bank upon the Borrower’s request, (ii) any other Lender to the extent it has agreed in its sole discretion to act as an “LC Issuer” hereunder and that has been approved in writing by the Borrower and the Agent (such approval by the Agent not to be unreasonably delayed or withheld) as an “LC Issuer” hereunder, and (iii) each issuer of an Existing Letter of Credit.

Examples of LC Issuers in a sentence

  • The L/C Issuers may send a Letter of Credit or conduct any communication to or from the beneficiary via the Society for Worldwide Interbank Financial Telecommunication (“SWIFT”) message or overnight courier, or any other commercially reasonable means of communicating with a beneficiary.

  • The obligations of the Lenders and the L/C Issuers under clause (b) of the preceding sentence shall survive the payment in full of the Obligations and the termination of this Agreement.

  • Each of the Administrative Agent, the Lenders and the L/C Issuers acknowledges that (a) the Information may include material non-public information concerning the Company or a Subsidiary, as the case may be, (b) it has developed compliance procedures regarding the use of material non-public information and (c) it will handle such material non-public information in accordance with applicable Law, including Canadian federal and provincial securities laws and United States federal and state securities Laws.

  • Each other Lender may change its address, facsimile or telephone number for notices and other communications hereunder by notice to the Company, the Administrative Agent, the L/C Issuers and the Swing Line Lender.

  • Each of the Lenders and each of the L/C Issuers hereby irrevocably appoints Bank of America to act on its behalf as the Administrative Agent hereunder and under the other Loan Documents and authorizes the Administrative Agent to take such actions on its behalf and to exercise such powers as are delegated to the Administrative Agent by the terms hereof or thereof, together with such actions and powers as are reasonably incidental thereto.

LC Issuers shall have the meaning given to such term in the Reimbursement Agreement.
LC Issuers means (i) Xxxxx Fargo, JPMCB, and Mizuho, each in their separate capacity as an issuer of Facility LCs pursuant to Section 2.20 with respect to each Facility LC issued or deemed issued by Xxxxx Fargo, JPMCB, and Mizuho upon the Borrower’s request, (ii) any other Lender to the extent it has agreed in its sole discretion to act as an “LC Issuer” hereunder and that has been approved in writing by the Borrower and the Agent (such approval by the Agent not to be unreasonably delayed or withheld) as an “LC Issuer” hereunder, and (iii) each issuer of an Existing Letter of Credit.
LC Issuers means (i) Wachovia (or any subsidiary or affiliate of Wachovia designated by Wachovia) in its separate capacity as an issuer of Facility LCs pursuant to Section 2.20 hereunder with respect to each Facility LC issued or deemed issued by Wachovia upon the Borrower’s request or (ii) any Lender (other than Wachovia), or any Subsidiary or Affiliate of such Lender designated by such Lender, that is requested by the Borrower and agrees to act in its separate capacity as an issuer of Facility LCs pursuant to Section 2.20 with respect to any and all Facility LCs issued by such Lender in its sole discretion upon the Borrower’s request; provided that the Borrower and such LC Issuer shall immediately inform the Agent of any such agreement. All references contained in this Agreement and the other Loan Documents to the “LC Issuer” shall be deemed to apply equally to each of the institutions referred to in clauses (i) and (ii) of this definition in their respective capacities as issuers of any and all Facility LCs issued by each such institution.
LC Issuers means Wells Fargo and Bank of America in their respective capacities as issuers of Letters of Credit hereunder, or any successor issuer of Letters of Credit hereunder.
LC Issuers means each of JPMCB (or any subsidiary or affiliate of JPMCB designated by JPMCB) and LaSalle (or any subsidiary or affiliate of LaSalle designated by LaSalle), in their capacities as issuers of Facility LCs hereunder.
LC Issuers means each of Bank of America and Wells Fargo, in their capacity as issuer of Letters of Credit hereunder. Any L/C Issuer may, in its discretion, arrange for one or more Letters of Credit to be issued by Affiliates of such L/C Issuer, in which case the term “L/C Issuer” shall include any such Affiliate with respect to Letters of Credit issued by such Affiliate. Each reference herein to the “L/C Issuer” in connection with a Letter of Credit or other matter shall be deemed to be a reference to the relevant L/C Issuer with respect thereto.
LC Issuers means (i) Xxxxx Fargo and JPMCB, each in their separate capacity as an issuer of Facility LCs pursuant to Section 2.20 with respect to each Facility LC issued or deemed issued by Xxxxx Fargo or JPMCB upon the Borrower's request, (ii) upon the issuance of a Facility LC by any Lender (other than Xxxxx Fargo or JPMCB ) and for so long as such Facility LC remains outstanding, such Lender, in its separate capacity as an issuer of Facility LCs pursuant to Section 2.20 with respect to any and all Facility LCs issued by such Lender in its sole discretion upon the Borrower's request and (iii) each issuer of an Existing Letter of Credit.
