L/C Issuers definition

L/C Issuers means, (a) collectively, Bank of America and Paribas, each in its capacity as an issuer of Letters of Credit hereunder, or (b) any successor issuer of Letters of Credit hereunder.
L/C Issuers means, collectively, Bank of America and JPMorgan Chase Bank, in each case in its capacity as an issuer of Letters of Credit hereunder, or any successor issuer of Letters of Credit hereunder.
L/C Issuers means, collectively, the Domestic L/C Issuer and the Canadian L/C Issuer.

Examples of L/C Issuers in a sentence

  • The obligations of the Lenders and the L/C Issuers under clause (b) of the preceding sentence shall survive the payment in full of the Obligations and the termination of this Agreement.

  • To the extent practicable, each partial reduction in the Financial Letter of Credit Sublimit shall be allocated ratably among the L/C Issuers in accordance with their respective Letter of Credit Commitments with respect to Financial Letters of Credit (or as otherwise agreed among the Company and the L/C Issuers).

  • Each of the Credit Parties, the Administrative Agent and each of the L/C Issuers may change its address, telecopier number, email address or telephone number for notices and other communications hereunder by notice to the other parties hereto.

  • Nothing in this Agreement, expressed or implied, shall be construed to confer upon any Person (other than the parties hereto, their respective successors and assigns permitted hereby, Participants to the extent provided in subsection (d) of this Section 10.06 and, to the extent expressly contemplated hereby, the Related Parties of each of the Administrative Agent, the L/C Issuers and the Lenders) any legal or equitable right, remedy or claim under or by reason of this Agreement.

  • Each other Lender may change its address, telecopier number, electronic mail address or telephone number for notices and other communications hereunder by notice to the Parent Borrower, the Administrative Agent, and, in the case of Revolving Lenders and the L/C Issuers.


More Definitions of L/C Issuers

L/C Issuers means (a) Bank of America in its capacity as issuer of Letters of Credit hereunder, (b) any other Revolving Credit Lender approved by the Administrative Agent and the Borrower that agrees to perform the duties of an L/C Issuer hereunder, and (c) any successor issuer of Letters of Credit hereunder, in each case, for so long as such Person shall have a Letter of Credit Commitment.
L/C Issuers means, collectively, each U.S. L/C Issuer, each Euro L/C Issuer and each Supplemental L/C Issuer; and “L/C Issuer” means any one of the L/C Issuers.
L/C Issuers means (a) Bank of America or any of its Affiliates designated by Bank of America in its capacity as issuer of Letters of Credit hereunder, or any successor to Bank of America in its capacity as an issuer of Letters of Credit hereunder, (b) each of the Persons identified on Schedule 2.03, in its capacity as issuer of an Existing Letter of Credit, and (c) any other Lender, selected by the Borrowers and reasonably acceptable to the Administrative Agent, in its capacity as an issuer of Letters of Credit hereunder or any successor to such Lender in its capacity as an issuer of Letters of Credit hereunder, which Lender consents to its appointment by the Borrowers as an issuer of Letters of Credit hereunder pursuant to a joinder agreement in form and substance reasonably satisfactory to the Administrative Agent and its counsel. All references to the L/C Issuer shall mean any L/C Issuer, the L/C Issuer issuing the applicable Letter of Credit, or all L/C Issuers, as the context may imply.
L/C Issuers means Bank of America, Xxxxx Fargo Bank, National Association and the Australian L/C Issuer, in their respective capacities as issuers of L/Cs hereunder, and any additional Lender approved by Administrative Agent and Borrower that has agreed to act as an “L/C Issuer”, or any successor issuer of L/Cs hereunder; and L/C Issuer means one of the L/C Issuers. L/C Subfacility means a subfacility under the Agreement for the issuance of L/Cs, as described in Section 2.3, under which the L/C Exposure may never exceed the L/C Sublimit.
L/C Issuers means Xxxxx Fargo and Bank of America in their respective capacities as issuers of Letters of Credit hereunder, or any successor issuer of Letters of Credit hereunder.
L/C Issuers means (a) Bank of America or any of its Affiliates designated by Bank of America in its capacity as issuer of Letters of Credit hereunder, or any successor to Bank of America in its capacity as an issuer of Letters of Credit hereunder, (b) BNP Paribas or any of its Affiliates designated by BNP Paribas in its capacity as issuer of Letters of Credit hereunder, or any successor to BNP Paribas in its capacity as an issuer of Letters of Credit hereunder, (c) Crédit Agricole Corporate and Investment Bank or any of its Affiliates designated by Crédit Agricole Corporate and Investment Bank in its capacity as issuer of Letters of Credit hereunder, or any successor to Crédit Agricole Corporate and Investment Bank in its capacity as an issuer of Letters of Credit hereunder, (d) BBVA Compass or any of its Affiliates designated by BBVA Compass in its capacity as issuer of Letters of Credit hereunder, or any successor to BBVA Compass in its capacity as an issuer of Letters of Credit hereunder, (e) Bank of Montreal or any of its Affiliates designated by Bank of Montreal in its capacity as issuer of Letters of Credit hereunder, or any successor to Bank of Montreal in its capacity as an issuer of Letters of Credit hereunder, (f) The Bank of Tokyo-Mitsubishi UFJ, Ltd or any of its Affiliates designated by The Bank of Tokyo-Mitsubishi UFJ, Ltd in its capacity as issuer of Letters of Credit hereunder, or any successor to The Bank of Tokyo-Mitsubishi UFJ, Ltd in its capacity as an issuer of Letters of Credit hereunder, (g) each of the Persons identified on Schedule 2.03, in its capacity as issuer of an Existing Letter of Credit, and (h) any other Lender, selected by the Borrowers and reasonably acceptable to the Administrative Agent, in its capacity as an issuer of Letters of Credit hereunder or any successor to such Lender in its capacity as an issuer of Letters of Credit hereunder, which Lender consents to its appointment by the Borrowers as an issuer of Letters of Credit hereunder pursuant to a joinder agreement in form and substance reasonably satisfactory to the Administrative Agent and its counsel. All references to the L/C Issuer shall mean any L/C Issuer, the L/C Issuer issuing the applicable Letter of Credit, or all L/C Issuers, as the context may imply.
L/C Issuers means Bank of America and each of the financial institutions listed in Schedule 1 attached hereto under the heading “Letter of Credit Sublimit”, each in its capacity as an issuer of Letters of Credit hereunder, and each such L/C Issuer’s successors in such capacity as provided in Section 1.3(h), Section 11.8 and Section 13.12(e) hereof (each an “L/C Issuer”).
