Except as otherwise expressly provided for herein, OTI and KTI will pay all of their own expenses (including attorneys' and accountants' fees (and, in the case of OTI, the expenses of OTI and OCI)) in connection with the negotiation of this Agreement, the performance of their respective obligations hereunder and the consummation of the transactions contemplated by this Agreement (whether consummated or not).
KTI shall take all commercially reasonable actions necessary or desirable to cause the conditions set forth in Section 6.02 to be satisfied and to consummate the transactions contemplated herein as soon as reasonably possible after the satisfaction thereof (but in any event within three business days of such date).
