Know-How Rights definition

Know-How Rights means any and all Know-How owned or in-licensed by the Seller or any of its Affiliates or under which the Seller or any of its Affiliates is or may become empowered to grant licenses necessary for the development, manufacture, or Commercialization of a Product.
Know-How Rights means all trade secret rights and other know-how rights (whether at law, in equity or otherwise).

  • The Parties acknowledge that the past, present and future exchange of valuable assets and support (including intellectual property (such as Know-How Rights), Confidential Information (and ongoing protection thereof), supply of API, facilitation of Product development, and the like) provide consideration sufficient to support the rights and obligations under the Agreement, including any surviving obligations of the Parties set forth in this Section 11.4.1.

More Definitions of Know-How Rights

Know-How Rights means the know-how and any supplemental information, including concepts, ideas, sequences, formulas, protocols, procedures, techniques and data (a) Controlled by Institute as of the Execution Date (including any of the foregoing Controlled by Institute as of the Original Effective Date), or (b) Controlled by Institute at any time during the Term and arising [ * ], or (c) Controlled by Institute and arising from activities conducted by either Party pursuant to the Research Agreement, in each case of (a) through (c), that (i) covers or relates to CTL Technology; and (ii) is not covered by a Valid Claim of the Patent Rights, or, if the subject of a patent or patent application in Patent Rights, does not issue as a Valid Claim.
Know-How Rights means trade secret or other know-how rights to the extent not generally known or available.
Know-How Rights means a right to unpatented Technology under either the common law or the statutory protection of any county.
Know-How Rights means all rights in trade secrets, data and other know-how (whether at law, in equity or otherwise) including Intellectual Property Rights and other rights in Information or Technology (as such terms, “Information” and “Technology” are defined in the Framework Agreement).
Know-How Rights means all trade secret and other know-how rights (whether at law, in equity or otherwise) including, but not limited to, rights in Information (as defined in the Framework Agreement) that would otherwise constitute know-how.
Know-How Rights means, whether or not patentable or otherwise protected by trade secret law, any and all know-how, including knowledge that is technical, scientific, regulatory, and/or business-related (including research, development, and commercial); analysis; assistance; data and information (including clinical and regulatory data and information related to plasmids, proteins, cell lines, assays and compounds); designs; efficiencies; experience; formulae; ideas; improvements; instructions; inventions; means; methods; modeling (including pharmacokinetic, pharmacodynamics, and translational modeling); pharmacovigilance know-how; processes; practices; procedures; programs; quality, supply chain, and manufacturing know-how; safety information; skills; specifications; studies; techniques; tests; and toxicology results; in any form and irrespective of whether the foregoing is confidential, proprietary, patented (or patentable), and any modifications, variations, derivative works and improvements of or relating to any of the foregoing.
Know-How Rights means all trade secrets and other know-how rights in and to all data, information, compositions and other technology (including, but not limited to, formulae, procedures, protocols, techniques and results of experimentation and testing, access to lab books and design history files) in existence on the Effective Date controlled by MDx or its affiliates or arising thereafter to the extent necessary or useful for A▇▇▇ to make, have made, use, develop, sell, exploit or seek regulatory approval to market a composition, a diagnostic or service, or to practice any method or process, at any time claimed or disclosed in any issued patent or pending patent application within the Patent Rights or which otherwise relates to the Technology.
