Key Stockholder has the meaning set forth in the Recitals to this Agreement.

Key Stockholder means Advent International Corporation, together with its Affiliates.

• This Agreement has been, and each other document, instrument or agreement to be executed and delivered by each Key Stockholder in connection herewith will upon such delivery be, duly executed and delivered by such Key Stockholder, and constitutes, or will upon such delivery constitute, the legal, valid and binding obligation of such Key Stockholder, enforceable in accordance with its terms, subject to Enforceability Exceptions.

Key Stockholder means the stockholder identified on Exhibit I hereto. “knowledge of the Company” and “the Company’s knowledge” mean [***].

A Person (other than an individual) shall be deemed to have “knowledge” of a particular fact, circumstance or other matter if any individual who is serving, at the time the same is to be determined, as a director, officer or key employee of such Person has knowledge of such fact, circumstance or other matter; provided, however, that the Company shall only be deemed to have “knowledge” of a particular fact, circumstance or other matter if any of Xxxxxx Xx Xxxxxx, Xxxxxxxxx Xxxxx, or Xxxxxx Xxxxx has knowledge of such fact, circumstance or other matter.
