Key Persons has the meaning set forth in Section 2.2A.
Key Persons means Contractor’s Authorized Representative, the Project Manager, and all other Contractor personnel designated as Key Persons in Exhibit E.
Key Persons shall be defined in this Agreement as individuals performing the Products and Services pursuant to this Agreement and (a) have signed this Agreement on behalf of the Contractor and/or (b) are listed in Exhibit F – Certificate Verifying Key Persons of the Contractor (“Exhibit F”) attached and incorporated into this Agreement. Key Persons include the names of all employees, agents, and subcontractors of the Contractor who perform or render Products and Services pursuant to this Agreement.
Examples of Key Persons in a sentence
The Contractor shall only use PII as strictly necessary to provide the services and shall disclose such information only to its Key Persons who have a strict need to know regarding such information.
Where required in terms of the Contract, the Service Provider shall provide Key Persons as listed in the Contract Data to perform specific duties.
All Key Persons under this Contract are collectively referred to as the Key Personnel Team.
In the event the Contractor fails to provide to the Authority the names of any Key Persons, the Parties shall consider the signatory for the Contractor to be the sole Key Person for the Contractor.
The Contractor acknowledges that only Key Persons shall perform the Products and Services under this Agreement.
