The Key Party Holdco shall have the right to appoint and remove six (6) directors (the “Management Directors”).
Each of the Key Parties acknowledges that the Investors agree to invest in the Company on the basis of the continued and exclusive services of and devotion and commitment by such Key Party to the Group Companies, and agree that the Investors should have reasonable assurance of such basis of investment.
