Key Members means ▇▇▇▇▇▇ ▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇, ▇▇▇▇ ▇▇▇▇▇, ▇▇▇▇ ▇▇▇▇▇▇▇▇▇ and ▇▇▇▇▇▇ ▇▇▇▇▇▇;
Key Members means, collectively, (a) Thomas Peyree, (b) Scott Peyree, (c) Michelle Peyree, (d) Scott and Michelle Peyree Children's Irrevocable Trust dated January 27, 2017, (e) John Anderson, (f) Robert Peyree, (g) EIP, and (g) any transferees of the Units held as of the date of this Agreement by any of the foregoing Persons.
Key Members means, (i) as of October 1, 2021 through February 8, 2022, the individuals who, at the time in question, perform the functions of President, Chief Financial Officer and Chief Legal Officer of Manager, and (ii) as of February 9, 2022, the individuals who, at the time in question, perform the functions of Chief Executive Officer, Chief Financial Officer and Chief Legal Officer of Manager.

  • The Association will hold the Employer and Agency harmless against any lawsuits, claims, complaints or other legal or administrative actions where action is taken against the Association or its agents (including Association staff, Association officers and Key Members) regarding any communications or effect any communications that are a direct result of the use of e-mail under this Agreement.

  • The audited financial statements of the Company for the time periods required by SEC regulations, together with the related notes and schedules (the “Audited Financials”), are being prepared by the Buyer and BBLU using information supplied by the Company and the Key Members pursuant to Section 12(c) below.

  • The Key Members shall (at the Company’s expense) prepare or cause to be prepared and file or cause to be filed on a timely basis all income and franchise Tax Returns with respect to the Company for taxable periods ending on or prior to the Closing Date, and the Surviving Company authorizes the Key Members to do so on its behalf.

Key Members means, individually or collectively, as the case may be, SIG Investments, LLC and Artiste Holdings, LLC.
Key Members means Benjamin Britton and Joshua Rutherford. “Labor Agreement” has the meaning set forth in Section 3.20(c).
Key Members means the members of the Corporate Team who, at the time in question, perform the functions of Chief Executive Officer, Chief Financial Officer and Chief Legal Officer.
