The Association will hold the Employer and Agency harmless against any lawsuits, claims, complaints or other legal or administrative actions where action is taken against the Association or its agents (including Association staff, Association officers and Key Members) regarding any communications or effect any communications that are a direct result of the use of e-mail under this Agreement.
The audited financial statements of the Company for the time periods required by SEC regulations, together with the related notes and schedules (the “Audited Financials”), are being prepared by the Buyer and BBLU using information supplied by the Company and the Key Members pursuant to Section 12(c) below.
The Key Members shall give a copy of each such Tax Return to BBLU prior to filing for its review, comment and approval.
