The parties acknowledge and agree that the intent and purpose of this Agreement is to outline the Gold Key Member Program benefits provided by OCCC, and to provide Disney with on-site presence at the Premises so Disney may exercise its Gold Key Member entitlements as such entitlements are more fully described in Exhibit A, attached hereto and made a part hereof, and promote Disney's services and properties to show managers and exhibitors.
Borrower shall notify Lender within ten (10) business days of any Key Member of Management change.
Disney agrees to pay an annual fee for each full (i.e., twelve (12) month) Agreement Year of Ninety-Five Thousand and no/100 Dollars ($95,000.00) (or the pro rata portion thereof, in the case of any Agreement Year that is less than twelve (12) full months) (the "Payment"), inclusive of applicable Florida state and local sales taxes, if any, as payment for Disney's participation in the Gold Key Member Program.
Such Key Member is not a party to any option, warrant, purchase right, or other contract or commitment that could require such Key Member to sell, transfer, or otherwise dispose of any of such Units (other than this Agreement).
