Key Contracts definition

Key Contracts means the Crude Supply Agreement, the Supplemental Crude Supply Agreement and the CRCCLP Crude Supply Agreement.

Key Contracts means those contracts set forth on Schedule 1.01(b) that evidence Contractual Obligations of EquaGen or its subsidiaries owing to any Core Asset Subsidiary for the maintenance and operation of nuclear power facilities owned by such Core Asset Subsidiary, as such schedule shall be updated from time to time in accordance with Section 5.05(c).

Key Contracts shall have the meaning set forth in Section 8.7.

Examples of Key Contracts in a sentence

• As of the date of the borrowing of any Delayed Draw Loans, set forth on Schedule 5.26 (as updated from time to time) is a list, and reasonably detailed description of, all Key Contracts of the Loan Parties entered into following the Closing Date.

• The Borrower has no knowledge that any other party to any of the Key Contracts intends to terminate such Key Contract.

(d.b.a Pharma Packaging Solutions) (as may be terminated and, in connection with such termination, replaced from time to time by the Borrower or its Subsidiaries in their reasonable business judgment), (e) that certain Manufacturing Services Agreement, dated as of March 13, 2018, by and between Patheon UK Limited and Bioprojet Pharma SAS (as may be terminated and, in connection with such termination, replaced from time to time by the Borrower or its Subsidiaries in their reasonable business judgment), (f) that certain Deed of Novation, dated as of January 31, 2019, by and among Patheon UK Limited, Bioprojet Pharma SAS and Harmony (as may be terminated and, in connection with such termination, replaced from time to time by the Borrower or its Subsidiaries in their reasonable business judgment), (g) any other agreement between Bioprojet Societe Civile de Recherche, Bioprojet Pharma SAS or Bioprojet Europe, Ltd. or any of their Affiliates, on the one hand, and the Borrower or any of its Subsidiaries, on the other hand, the absence of, or breach or default under, which would reasonably be expected to result in a material adverse consequence under any Designated Key Contract (excluding any agreements (including investment agreements) to which Bioprojet Societe Civile de Recherche, Bioprojet Pharma SAS or Bioprojet Europe, Ltd. or any of their Affiliates is a party with the Borrower and/or one or more of its direct or indirect shareholders, solely in their respective capacities as holders of the Equity Interests of the Borrower the breach of which would not create a termination right or default under any other Key Contract, including, without limitation, agreements with respect to the issuances thereof), in each case as amended, supplemented or otherwise modified from time to time and (h) all other contracts, agreements or licenses, that the early termination, cancel...

Key Contracts means: (a) the Aroa Umbrella Agreement; (b) the Endoform Development Agreement #1; (c) the Development Agreement for Endoform® Contoured Reconstructive Template, effective as of September 21, 2017 (including its separate Product Exhibit no. 2 of even date), between the Borrower and Aroa, as amended effective June 1, 2018; (d) the Development Agreement for Endoform® Reconstructive Template Large, effective as of May 31, 2018, between the Borrower and Aroa; each of the foregoing in clauses (a) through (d) as amended, supplemented or otherwise modified from time to time; and (e) any other existing or future material contract, agreement, arrangement, obligation or undertaking, between the Borrower or any of the Subsidiaries, on one hand, and Aroa or any of its Affiliates, on the other hand.
