Notwithstanding anything herein to the contrary, (i) KBW and/or its designees may not exercise its rights under Sections 2.1 and 2.2 hereunder after five (5) and seven (7) years after the commencement of sales relating to the Company’s initial public offering, respectively, and (ii) KBW and/or its designees may not exercise its rights under Section 2.1 more than one time.
