Juniper Networks definition
Juniper Networks means (a) Juniper Networks International B.V. if Cloud Services will be deployed, accessed, or purchased in Europe (excluding the United Kingdom), the Middle East or Africa; or Asia; (b) Juniper Networks (US), Inc. if Products and/or Cloud Services will be shipped to, deployed, accessed, or purchsased in North America, Central America or South America; or (c) Juniper Networks (UK) Limited if Products and/or Cloud Services will be shipped to, deployed, accessed, or purchased in the United Kingdom, and in each case, any Juniper Affiliate of the applicable Juniper Networks entity to whom this Agreement may be assigned. As used in connection with the provision of Cloud Services, the term “Juniper Networks” or “Juniper” under this Agreement may include authorized services representatives of Juniper.
Juniper Networks means: (a) Juniper Networks (US), Inc. and/or its authorized service representative(s) if Services will be provided for Products located in North America, Central America or South America; (b) Juniper Networks International BV and/or its authorized service representative(s) if Services will be provided for Products located in Europe (excluding the United Kingdom), the Middle East, Africa or Asia; (c) Juniper Networks (UK) Limited and/or its authorized service representative(s) if Services will be provided for Products in the United Kingdom; and in each case, any Juniper Affiliate of the applicable Juniper Networks entity to whom this Agreement may be assigned. As used in connection with the provision of Services, the term “Juniper Networks” or “Juniper” under this Agreement may include authorized services representatives of Juniper.
Juniper Networks or “Juniper” means (a) Juniper Networks International B.V., if You have acquired its license rights to the Software for use in Europe, the Middle East, Africa, Asia or the Pacific Rim (excluding the Americas); or (b) Juniper Networks (U.S.), Inc., if You have acquired its license rights to the Software for use in North America, Central America or South America.

If the Cloud Service is made available as a feature of a Juniper Product, the Juniper Product(s) is/are not provided as a part of the Cloud Service and must be purchased separately from an Authorized Reseller or Juniper Networks.
The term “Company” shall also include any direct or indirect that is majority owned by Juniper Networks, Inc.
You may not assign, sub-contract and/or delegate or otherwise transfer its licenses, rights or duties under this Agreement, including to an Affiliate of Yours, except with the prior written consent of Juniper Networks.
You may not offset or withhold any amounts due and payable hereunder against any claim, liability or judgment You may have against Juniper Networks without Juniper Networks’ express written consent.
Juniper Networks will post a notice of any Program changes on its website.

As used in connection with the provision of Services under this Agreement, the term “Juniper Networks” may include authorized services representatives of Juniper Networks.
Juniper Networks or “Juniper” means Juniper Networks (US), Inc. if JNAA Member is located in and its performance under the Agreement will be rendered in North America, Central America or South America; or its affiliate, Juniper Networks International B.V., if JNAA Member is located in and its performance under the Agreement will be rendered in Europe, the Middle East or Africa, or in the Asia Pacific Rim. This Agreement shall be effective as of date last signed by a party below (“Effective Date”). The Parties agree as follows:
