Joint Program Technology definition

Joint Program Technology means any Program Technology (other than Joint Improvements) conceived or first reduced to practice jointly by (a) one or more employees of, or other persons obligated to assign inventions to, ImmunoGen or any Affiliate of ImmunoGen, and (b) one or more employees of, or other persons obligated to assign inventions to, Novartis or any Affiliate of Novartis.
Joint Program Technology means Joint Program Know-How and Joint Program Patents.
Joint Program Technology means [***] Joint Program Technology, [***] Joint Program Technology and Other Joint Program Technology.

  • All Joint Program Technology and Joint Program Patent Rights shall be jointly owned by the Parties and each Party shall be free to practice such Joint Program Technology and Joint Program Patent Rights, in the Territory in the case of BCI and outside the Territory in the case of Alopexx, subject to any terms or conditions of this Agreement to the contrary.

  • Each Party hereby agrees to promptly notify the other Party in writing of the conception or reduction to practice of any Joint Program Materials or Joint Program Technology and to promptly execute and deliver any documents that may be necessary to perfect the other Party’s rights in and to such Joint Program Technology.

More Definitions of Joint Program Technology

Joint Program Technology has the meaning set forth in Section 8.1.2(d).
Joint Program Technology means Joint Program Materials and Joint Program Know-How.

Joint Program Technology means any Program Technology the inventors of which are jointly (a) employees, agents or independent contractors of CytomX or any of its Affiliates and (b) employees, agents or independent contractors of ImmunoGen or any of its Affiliates.
Joint Program Technology means any and all (a) Information that is jointly conceived, discovered, developed or otherwise made by or on behalf of (i) Ambit or its Affiliates, on the one hand, and (ii) Astellas or its Affiliates, on the other hand, in connection with work conducted under or in connection with this Agreement, whether or not patented or patentable (collectively, “Joint Program Know-How”), and (b) any and all Patent Rights and other intellectual property rights owned jointly by Astellas or its Affiliates on the one hand and Ambit or its Affiliates on the other hand claiming, covering or otherwise appurtenant to the Information described in clause (a) above (collectively, “Joint Program Patents”).
Joint Program Technology. Joint Program Technology shall mean all Program Technology conceived, reduced to practice or developed jointly by employees, agents, consultants or subcontractors of both Parties during, and in the conduct of, the Research Program that is neither ARCHEMIX Program Technology nor EYETECH Program Technology.
Joint Program Technology. (as that term is defined in the Technology Alliance and Option Agreement) is hereby deemed to be included within the term "Joint Alliance Technology." For the purposes of this definition, employees of the Joint Sales Company, excluding employees of ADM, ADM Sub or MBX who are providing services to the Joint Sales Company under the ADM Sub Services Agreement or the MBX Services Agreement, will be deemed to be employees of both ADM Sub and MBX. Notwithstanding the foregoing, Unfunded Technology shall not be included as part of Joint Alliance Technology.
