The CEO shall take into account advice given by the JMB and shall not unreasonably fail to give effect to its management decisions.

This Agreement, together with the Note and the other documents specifically referenced herein, embodies the complete agreement and understanding between JMB and Borrower with respect to the subject matter hereof and supersedes and preempts any prior understandings, agreements or representations by or between the parties, written or oral, which may have related to such subject matter in any way.
