IU Shares means the total of 138,113,036 WHB Shares representing 44.79 per cent. of the issued share capital of WHB as at the Latest Practicable Date being the aggregate of (i) the 74,297,100 WHB Shares held by the Fung Family, representing its entire interest in WHB and
IU Shares means the total of 137,681,786 WHB Shares representing 44.79 per cent. of the issued share capital of WHB as at the Last Trading Date being the aggregate of (i) the 73,865,850 WHB Shares held by the Fung Family, representing its entire interest in WHB and 24.03 per cent. of the issued share capital of WHB as at the Last Trading Date; and (ii) the 63,815,936 WHB Shares held by BNY, representing its entire interest in WHB and 20.76 per cent. of the issued share capital of WHB as at the Last Trading Date;
IU Shares means the total of 429,950,088 OOIL Shares representing 68.7 per cent. of the issued share capital of OOIL as at the Last Trading Date;

The Offeror received the Irrevocable Undertakings from the IU Shareholders (being Grandeur Peak, QVP II, QVP II-C and QMDF), pursuant to which each IU Shareholder has undertaken to, among other things, exercise (or procure the exercise of) all voting rights attached to the relevant IU Shares held or owned by it at the Court Meeting and the EGM in favour of all the resolutions to approve the Proposal and any matters in connection with the Proposal (where applicable).
