Irrevocable Undertaking definition

Irrevocable Undertaking means any irrevocable undertaking or sale and purchase agreement executed by the Borrower with an existing J▇▇▇▇▇ shareholder, pursuant to which such shareholder has agreed with the offeror, on the terms and subject to the conditions of the Irrevocable Undertaking, to tender or otherwise sell its J▇▇▇▇▇ Shares held by it in the Offer.
Irrevocable Undertaking means an irrevocable undertaking in the agreed form relating to Blue Shares pursuant to which the party thereto agrees to tender (or procure the tender of) all of that party’s Blue Shares and Blue ADRs in exchange for shares in the Company and/or American depositary receipts representing shares in the Company in accordance with the terms of the Offer.
Irrevocable Undertaking means the deed of irrevocable undertaking entered into by the Vendors (among others) on or around the date of this Agreement in connection with the Acquisition;
