Except for the IPO Redemption pursuant to Paragraph 9 below and the required redemption upon certain asset sales, the Issuer will not be required to make any mandatory redemption payments or sinking fund payments with respect to the Notes.
These calculations include, but are not limited to, determinations of the accrued interest payable on the Notes, the Warrants, the redemption price, the IPO Redemption Premium and the Conversion Shares and cash payments for fractional shares, if any, due on the Conversion Date.
Any repurchases pursuant to this Section 3(d) shall be effected in accordance with, and subject to Section 6(b), within five (5) Business Days of the Post-Subsidiary IPO Redemption Election Deadline Date.

An IPO Redemption shall be conducted in compliance with Article III of the Indenture, including Section 3.03 through Section 3.08 thereof.
