Investor Documents definition

Investor Documents means each document evidencing any loan made by an Investor to the Parent or other indebtedness incurred by the Parent to an Investor, which loan or indebtedness would but for the application of the second paragraph of the definition of Indebtedness excluding any amount due or outstanding in respect of any Subordinated Shareholder Funding, constitute Indebtedness.

Investor Documents means each document, instrument or certificate, other than the Transaction Agreements, to be executed and delivered by the Investor in connection with the consummation of the transactions contemplated by this Agreement.

Investor Documents means (i) the Collaboration Agreement, (ii) the Investor Rights Agreement, (iii) the License Agreement, (iv) the Subscription Agreement and (v) the Intellectual Property Purchase Agreement.

Examples of Investor Documents in a sentence

• The execution, delivery and performance of the Transaction Agreements and the Investor Documents, and the consummation by the Investor of the transactions contemplated thereby, have been duly authorized by all necessary action on the part of the Investor.

• The Purchaser acknowledges that, in making its decision to invest in the Corporation, the Purchaser is relying solely on the Investor Documents.

• It has the full power and authority to enter into this Agreement and the other Investor Documents, and (assuming due execution by the Company and the other parties to such agreements) such agreements constitute its valid and legally binding obligation, enforceable against it in accordance with its terms.

• Except as specifically provided in this Waiver, all other terms and conditions of the Investor Documents remain in full force and effect.

More Definitions of Investor Documents

Investor Documents means this Subscription Agreement, the Term Sheet attached hereto as Schedule “A”, and the U.S. Offering Circular delivered on a confidential basis in connection with the Offering.

Investor Documents means any equity related documents which are issued by the Issuer or any Group Company, which in all respect is subordinated to the obligations of the Issuer or any of the Guarantors under these Terms and Conditions.

Investor Documents means the Subordinated Preference Certificates Instrument, the Subordinated Preference Certificates, the Shareholders’ Agreement, any related fees letters, the constitutional documents of each Holdco and any other document designated as such by the Agent and the Company.

Investor Documents means the Prospectus, the Application Form, the KIID/KID, the Supplementary Information Document, the Key Features Document and/or any other relevant point of sale or marketing document approved by the Company.

Investor Documents means the Operating Agreement, the Stockholders Agreement, each Investor Letter, and any amendments or supplements thereto or modifications thereof, executed or delivered pursuant to the terms thereof and this Credit Agreement, and any additional documents delivered in connection with any such amendment, supplement or modification.

Investor Documents means an Investor’s fully executed Subscription Agreement, any Side Letter Agreement, the Acknowledgment Letter and the related documents of any Credit Provider.

Investor Documents means each document, instrument or certificate, other than this Agreement, to be executed and delivered by the Investor in connection with the consummation of the transactions contemplated by this Agreement, including the Registration Rights Agreement.
