Investor Designees definition

Investor Designees means those persons designated for nomination to the Board of Directors by the Investor, the number of which shall not be less than a majority of the Board of Directors when aggregated with any director nominees who are nominated by any of the Investor’s subsidiaries or parent company.

Investor Designees shall have the meaning set forth in Section 5.4(a).

Investor Designees means those member(s) of the Board or Sub Board that have been designated by the Required Investor Approval.

Examples of Investor Designees in a sentence

• The Company shall nominate the Investor Designees for a vote of the shareholders at any meeting or action by written consent involving the election of directors to the Board of Directors.

• This section applies to individuals who seek eligibility for designation by a court to conduct ADR pursuant to Rule 17-201 in an action assigned to the Business and Technology Case Management Program or pursuant to Rule 17-203 in an action assigned to the Health Care Malpractice Claims ADR Program.

More Definitions of Investor Designees

Investor Designees means, collectively, those members of the board nominated by each of the following: DWF SRL, a Barbados Company; GS Capital Partners III, L.P., a Delaware limited partnership; Providence Equity Fiber, L.P., a Delaware limited partnership; and Tyco Group S.A.R.L., a Luxembourg corporation;

Investor Designees has the meaning assigned to such term in Section 6.07(b).

Investor Designees has the meaning ascribed to such term in the Directors Designation Agreement.
