Investor Agent definition

Investor Agent means a purchaser of a Safe designated by the Company, and which such purchaser has agreed to act in the capacity of Investor Agent pursuant to the terms and conditions in Section 5.

Investor Agent means (a) with respect to CAFCO and its Related Banks, CNAI or any successor investor agent designated by such parties, (b) with respect to Enterprise and its Related Banks, BofA or any successor investor agent designated by such parties, and (c) with respect to JSST and its Related Banks, JPMC or any successor investor agent designated by such parties.

Investor Agent means (a) with respect to the BTM Group, BTM, (b) with respect to the Fifth Third Group, Fifth Third, and (c) with respect to any other Group, the Investor Agent named in the related Group Assignment or, in each case, any successor investor agent designated by the Investors, if any, and Related Banks within a Group.

Examples of Investor Agent in a sentence

• Escrow Agent and/or the Investor Agent are also each hereby authorized to institute an appropriate interpleader action upon receipt of a written letter of direction executed by the parties so directing either Escrow Agent or the Investor Agent.

• If Escrow Agent or the Investor Agent is directed to institute an appropriate interpleader action, it shall institute such action not prior to thirty (30) days after receipt of such letter of direction and not later than sixty (60) days after such date.

• Should any controversy arise among the parties hereto with respect to this Make Good Agreement or with respect to the right to receive the Escrow Shares, Escrow Agent and/or the Investor Agent shall have the right to consult and hire counsel and/or to institute an appropriate interpleader action to determine the rights of the parties.

• This Make Good Agreement and the rights and obligations hereunder of the Escrow Agent may be assigned by the Escrow Agent only with the prior consent of the Company and the Investor Agent.

Investor Agent s Account" means an account at a bank designated in writing to the Litigation Trustee by Investor Agent from time to time as the account to which the Litigation Trustee shall direct all wire transfer payments to Investor Agent for the benefit of Investor Parties under the Investment Facility Documents.
