Intra-Group Debt definition

Intra-Group Debt means any indebtedness owed by a member of the Group to another member of the Group;
Intra-Group Debt means, in relation to each Group Company, any amounts (including accrued interest) owed at Completion by that Group Company to any Seller’s Group Undertaking (other than any Group Company), or any amounts (including any accrued but unpaid interest) owed by any Seller’s Group Undertaking (other than a Group Company) to such Group Company, that are neither Inter-Company Trading Amounts nor amounts in respect of Tax or group Relief;
Intra-Group Debt means any Financial Indebtedness owed by one member of the Group to another member of the Group.

Examples of Intra-Group Debt in a sentence

  • Other than in relation to conversion of the Company Intra-Group Debt, where the provisions of Clause 1.13 shall apply, any amount to be converted from one currency into another currency for the purposes of this Agreement shall be converted into an equivalent amount at the Conversion Rate prevailing at the Relevant Date.

  • If, after Closing, it is determined that the amount paid by the Purchaser pursuant to Clause 6.3.1(ii) exceeded the Maximum Company Intra-Group Debt Amount, the Seller shall pay the Purchaser an amount equal to the difference on demand.

  • Unless expressly stated otherwise in this Agreement, this Agreement overrides anything in the Debt Documents and Intra-Group Debt Documents to the contrary (except for any Transaction Security Documents governed by Dutch law).


More Definitions of Intra-Group Debt

Intra-Group Debt means the intragroup debt arising as a result of the on-lending of the proceeds under the Initial Notes and any Subsequent Notes by the Issuer to Target.
