Internal Research definition

Internal Research means consultation with and the written opinions, analysis, research or other work product of (i) individuals employed by or under contract with BNYM who are not Dedicated Personnel, and (ii) individuals who are Dedicated Personnel but the consultation or opinions, analysis, research or other work product is not incidental to the services performed by such individual for the Fund.

Internal Research means research conducted internally at Licensee's premises solely by Licensee, and specifically excludes any activities involving: (1) the manufacture or commercialization of Products; (2) the providing of services to or conducting research for the benefit of third parties using Licensed Materials and/or Reprogrammed iPS Cells, or any Derivative Materials; or (3) the performance of human clinical trials or any development work subsequent to the commencement of clinical trials.

Internal Research means research and development conducted by a party for the purpose of performing its ordinary functions and carrying out its core business, but does not include research and development being carried out by a party, including with or for Third Parties, which constitutes Exploitation.

Internal Research means research that is controlled by Janssen, whether conducted internally by Janssen or any of its Affiliates or by Third Party contractors on behalf of Janssen or any of its Affiliates, where Janssen or its Affiliate owns the data or intellectual property generated in such research, including research employing standards (i) to initially identify active compounds against a target or (ii) to validate activity of test compounds in animal models. For the avoidance of doubt, and notwithstanding the foregoing, Internal Research specifically excludes any GLP-compliant or other IND-enabling preclinical study and clinical trials and any research conducted by academic collaborators.

For the avoidance of doubt, all other activities, including any activities involving: (a) the manufacture (other than Limited Manufacturing) or commercialization of Derivative Cells; (b) the providing of services to, or conducting research for the benefit of, Third Parties, using any Approved iPSC Line, any Derivative Cells or any compositions or materials that incorporate wholly or partially an Approved iPSC Line; (c) the performance of human or animal clinical trials or any development work subsequent to the commencement of clinical trials; (d) the use of an Approved iPSC Line or its constituent iPSCs in screening of compounds (e.g., drug product candidates); or (e) any clinical, diagnostic or therapeutic (i.e., treatment, preventative, palliative or prophylactic) uses, shall not be considered Internal Research.
