Institutional Account definition

Institutional Account means the account of: (1) a bank, savings and loan association, insurance company or registered investment company; (2) an investment adviser registered either with the SEC under Section 203 of the Investment Advisers Act or with a state securities commission (or any agency or office performing like functions); or (3) any other person (whether a natural person, corporation, partnership, trust or otherwise) with total assets of at least $50 million as of the date of execution of this Certificate whether such assets are invested for such person’s own account or under management for the account of others.

Immediate Family Member” means (1) an employee’s spouse; (2) any of the following persons sharing the same household with the employee (which does not include temporary house guests): a person’s child, stepchild, grandchild, parent, stepparent, grandparent, sibling, mother-in-law, father-in-law, son-in-law, daughter-in-law, brother-in-law, sister-in-law, legal guardian, adoptive relative, or domestic partner; (3) any person sharing the same household with the employee (which does not include temporary house guests) that holds an account in which the employee is a joint owner or listed as a beneficiary; or (4) any person sharing the same household with the employee in which the employee contributes to the maintenance of the household and material financial support of such person.
Institutional Account means any pension plan, including an ERISA qualified plan, for which TIM acts as investment adviser or investment company for which TIM acts as sub-adviser.
