Installed System definition

Installed System means a single central processing unit (“CPU”) with up to four (4) cores on which the Software is installed or executed.

Installed System means each installed solar system for which a Customer Origination Fee (as defined in the Origination Agreement) becomes due and payable to Contractor in accordance with the provisions of the Origination Agreement, including, for the avoidance of doubt, with respect to Commercial Rooftop Solar Products (as defined in the Origination Agreement) installed pursuant to the Origination Agreement, provided that, for purposes of this Warrant, Commercial Rooftop Solar Products shall count as a separate “Installed System” for each 6.5kW of Commercial Rooftop Solar Product installed (for example, a 13 ▇▇ ▇▇▇▇▇▇▇▇▇▇ Rooftop Solar Product installation shall count as two (2) “Installed Systems” for purposes of this Warrant). For purposes of this Warrant, an Installed System shall be deemed “achieved” at such time as a Customer Origination Fee shall become due and payable to Contractor with respect to such system in accordance with the provisions of the Origination Agreement.

Examples of Installed System in a sentence

  • Retirements made on the last day of any month shall not be deducted from Installed System Capability for that month.

  • For purposes of this Section 12, the minimum monthly Installed System Capability of a Participant for a month is the Participant's lowest Installed System Capability for any hour during the month.

  • Any remainder starting with the lowest Bid Prices shall be deemed to have been furnished, to the extent required, to other Participants under this Agreement to meet their shortages of Installed System Capability for the month.

  • If no bid is submitted for a month for any surplus Installed System Capability or for any hour for any surplus Operable System Capability, the Bid Price for any such surplus for which there are no bids shall be deemed to be zero.

  • Each Participant shall have Installed System Capability during each hour of each month at least sufficient to satisfy its Installed Capability Responsibility for the month.


More Definitions of Installed System

Installed System means a system on which Client installs or executes all or a portion of the Software, which may be, without limitation, a server, work station, virtual machine, blade, node, partition, or engine, as applicable. The parties agree that the terms of this Agreement will govern future purchases by Client of additional units of any or all of the Services listed herein. Unless otherwise agreed by the parties in writing, during the term of this Agreement, such additional units can be purchased and renewed at the rates set forth herein, exclusive of expenses, if any.
Installed System means an eligible system that is completely built, has passed final electrical inspection by the local authority holding jurisdiction, and is pending completion of utility work to connect it to the utility grid. Any delay resulting from the utility not completing required work to connect the eligible system to the grid shall be excluded from the 12-month installation requirement under OAR 860-084-0210(1).
Installed System means the equipment listed in Schedule III as may be amended from time to time in accordance with this Agreement.

(z) “Liability” means, as to any Person, any debt, adverse claim, liability, duty, responsibility, obligation, commitment, assessment, cost, expense, loss, expenditure, charge, fee, penalty, fine, contribution, or premium of any kind or nature whatsoever, whether known or unknown, asserted or unasserted, absolute or contingent, direct or indirect, accrued or unaccrued, liquidated or unliquidated, or due or to become due, and regardless of when sustained, incurred or asserted or when the relevant events occurred or circumstances existed. (aa) “Material Adverse Effect” means (x) any event, change, condition, occurrence or effect that individually or in the aggregate has had a material adverse effect on the Purchased Assets, taken as a whole or (y) an Effect that individually or in the aggregate, has prevented or materially delayed or would prevent or materially delay the Transactions or has materially impaired or would materially impair the ability of Seller to consummate the Transactions; provided, however, that none of the following events, changes, conditions, circumstances, developments or effects (or the results thereof, each, an “Effect”) shall be deemed to constitute a “Material Adverse Effect” and shall not be take...
