The Company shall not amend, modify or otherwise change the Insider Letter and the Trust Agreement without the prior written consent of the Representatives, which such consent shall not be unreasonably delayed, conditioned or withheld by the Representatives.
The Company shall not take any action or omit to take any action which would cause a breach of the Insider Letter and will not allow any amendments to, or waivers of, such Insider Letter without the prior written consent of the Representatives, which consent shall not be unreasonably delayed, conditioned or withheld by the Representatives.
