The Administrative Agent is hereby authorized by the Lender Parties to enter into a Pledge Agreement dated as of the date hereof and in the form attached as Annex C hereto (the "Pledge Agreement") with the Borrower, KeyBank and DB (in their capacities as administrative agent for each of the Other Facilities) and the owners of 100% of the direct Equity Interests in each of the Initial Grantors.
