IndyMac or the "Sponsor"), the related Depositor and Issuing Entity, each person responsible for the preparation, execution or filing of any report required to be filed with the Commission with respect to such Depositor or Issuing Entity, or for execution of a certification pursuant to Rule 13a-14(d) or Rule 15d-14(d) under the Exchange Act; each broker dealer acting as underwriter, each person who controls any of such parties (within the meaning of Section 15 of the Securities Act and Section 20 of the Exchange Act); and the respective present and former directors, officers, employees and agents of each of the foregoing, and shall hold each of them harmless from and against any losses, damages, penalties, fines, forfeitures, legal fees and expenses and related costs, judgments, and any other costs, fees and expenses that any of them may sustain arising out of or based upon:
IndyMac. IndyMac Bank F.S.B., and its successors and assigns, in its capacity as Originator of the IndyMac Mortgage Loans.
IndyMac means IndyMac Bank, F.S.B. or its successors and assigns. “IndyMac Collateral” means any and all property or interests in property of theEstates that is subject to a valid and enforceable Lien to secure an IndyMac Secured Claim; provided that, IndyMac Collateral shall not include Discharged Property; provided, further, however, that, the IndyMac Collateral shall not include the ComEd Sale Proceeds or the Farm Lease Proceeds.
IndyMac. IndyMac Bank, F.S.B., and its successors in interest and assigns, in its capacity as an Originator and a Servicer.
IndyMac. IndyMac, Inc. and its permitted successors and assigns.
IndyMac means IndyMac Venture, LLC (successor-in-interest to IndyMac Bank, F.S.B. or .), its successors and assigns or, where applicable and appropriate in the Plan, its designee(s) that acquire or will acquire title to IndyMac Collateral pursuant to Sections 14.3(c)(i) or 5.1(f) (in the event that the IndyMac Settlement is not approved).
