Without the prior written consent (which consent shall not be unreasonably withheld or delayed) of the Program Agent and each Direct Lender (i) unless required by a change in Applicable Law (including, without limitation, the Investment Company Act and the Securities Act) make or permit any material change in the Investment Policies and Restrictions, or (ii) make or permit any change in any Industry Class used to compute the Borrowing Base.
