Independent Technology definition

Independent Technology means Technology and associated Intellectual Property Rights owned solely by a Party, which is conceived prior to the Effective Date and/or at any time outside of the course of a Development Program, provided, where such conception occurred after the Effective Date, the owning Party made no use of or reliance upon the other Party’s Technology for such conception or any subsequent reduction to practice.

Independent Technology means either Party’s technical information, including, but not limited to, all drawings, schematics, layouts, plans, architectures, tools, mathematical models, data, formulae, algorithms, methods, guidelines, practices, prototypes, tests, cell libraries, semiconductor topographies, and reports, as well as all computer software, firmware and hardware, and all Intellectual Property Rights relating thereto, developed, owned, or lawfully possessed by a Party prior to or outside of the scope of, this Agreement. * [***]: Certain information in this document has been omitted and filed separately with the Commission. Independent Technology means Existing Technology and Post-Signature Technology.

• Each Party acknowledges and agrees that, as between the Parties, each Party is and shall remain for all purposes hereunder the sole and exclusive owner of all right, title and interest in and to its Independent Technology and all associated Intellectual Property Rights.
