The Company agrees that, as between the Company and the Secondary Indemnitors, the Company is primarily responsible for amounts required to be indemnified or advanced under the Company’s certificate of incorporation or bylaws or this Agreement and any obligation of the Secondary Indemnitors to provide indemnification or advancement for the same amounts is secondary to those Company obligations.
The Issuer and the Holders agree that the Indemnitors are express third party beneficiaries of this Article VI.
The Indemnitors shall have a right of contribution and/or be subrogated to the extent of such advancement or payment to all of the rights of recovery which any Holder would have had against the Issuer if the Indemnitors had not advanced or paid any amount to or on behalf of such Holder.
No advancement or payment by the Indemnitors on behalf of any Holder with respect to any claim for which such ▇▇▇▇▇▇ has sought indemnification from the Issuer hereunder shall affect the foregoing.
The Secondary Indemnitors are express third-party beneficiaries of the terms of this Section 16(g).
