Subject to the next paragraph, identical to the prepayment provisions in respect of (i) the Incremental Term A Facility or the Backstop Term A Facility, as the case may be, the existing Tranche A Term Loans as set forth in the Existing Credit Agreement and (ii) the Incremental Term B Facility or the Backstop Term B Facility, as the case may be, the existing Tranche B Term Loans as set forth in the Credit Agreement.
The Incremental Term Commitments of each of the Incremental Term Lenders party hereto and the Applicable Percentage of such Incremental Term A Facility for each of the Incremental Term Lenders party hereto shall be as set forth on Schedule 1.01(b) attached hereto.
Holdings, the Borrowers, the Lenders party thereto from time to time and the Administrative Agent, are party to that certain Credit Agreement dated as of February 1, 2016 (as amended by that certain First Incremental Term A Facility Amendment, dated as of April 29, 2016, that certain Second Incremental Term A Facility Amendment, dated as of August 2, 2016 and as further amended, supplemented or otherwise modified from time to time, the “Credit Agreement”).
This Agreement constitutes notice of the Borrower’s request to implement the Incremental Term A Facility and to extend the Revolving Facility Maturity Date in accordance Sections 2.02(g) and 2.17 of the Credit Agreement and the Administrative Agent agrees to such shorter period of notice.
This Agreement shall constitute a “Refinancing Amendment” with respect to the Replacement Term A Loans and the Replacement Revolving Credit Commitments established hereunder, an “Incremental Facility Amendment” with respect to the Incremental Term A Facility and Incremental Revolving Facility established hereunder and a “Loan Document” for all purposes of the Credit Agreement and the other Loan Documents.
