IMCO definition

IMCO means IMCO as hereinbefore defined, and “IMCO’s Successor” shall mean any successor to IMCO’s business or assets as contemplated by paragraph 8 below, that executes and delivers an agreement to assume IMCO’s obligations under this Agreement or which otherwise becomes bound by all of the terms and provisions hereof by operation of law.
IMCO means IMCO Recycling Inc., a Delaware corporation.
IMCO shall include any successor to their respective businesses and/or assets as aforesaid which executes and delivers the Successor Agreement as contemplated by this Article IX or which otherwise becomes bound by the terms and provisions hereof by operation of law.

IMCO has granted to the Trust a non-exclusive license to use the "AFBA 5Star" name as part of the name of the Trust now and in the future. The Board of Trustees further expressly agrees and acknowledges that the non-exclusive license granted herein may be terminated by IMCO if the Trust ceases to use IMCO or one of its Affiliates as Investment Adviser or to use other Affiliates or successors of IMCO for such purposes. In such event, the nonexclusive license may be revoked by IMCO and the Trust shall cease using the name "AFBA 5Star", or any name misleadingly implying a continuing relationship between the Trust and IMCO or any of its Affiliates, as part of its name unless otherwise consented to by IMCO or any successor to its interests in such name. The Board of Trustees further understands and agrees that so long as IMCO and/or any future advisory Affiliate of IMCO shall continue to serve as the Trust's Investment Adviser, other registered open- or closed-end investment companies ("funds") as may be sponsored or advised by IMCO or its Affiliates shall have the right permanently to adopt and to use the name "AFBA 5Star" in their names and in the names of any series or Class of shares of such funds.
