Anything in the foregoing to the contrary notwithstanding, in the event that more than one Illiquidity Event shall have occurred and be continuing at the same time, the maximum amount of liquidated damages payable in the manner of additional interest to accrue with respect to any Securities shall be 0.50% per annum.
The payment of the liquidated damages in accordance with this Section 4 shall fully discharge and satisfy each Registrant's obligations with respect to damages resulting from any such Illiquidity Event under this Registration Rights Amendment or under the Facility Lease Agreements.
The parties hereto agree that the liquidated damages provided for in this Section 4 constitute a reasonable estimate of and are intended to constitute the sole damages that will be suffered by holders by reason of the occurrence of an Illiquidity Event.
Notwithstanding that an Illiquidity Event may cease to exist, if a Registration Statement (as defined in the Series F Registration Rights Agreement) has not become effective within two (2) years after the initial issuance of the Series F Securities, such increased interest rate shall become permanent, pursuant to the terms and provisions of the Series F Registration Rights Agreement.
Notwithstanding that the Illiquidity Event may cease to exist, in the event that an Exchange Offer Registration Statement or an Initial Shelf Registration Statement has not become effective within two years after the Closing Date, the interest rates on the Initial Securities otherwise payable as provided in the Indenture shall permanently remain increased by such one half of one percent (0.50%) per annum.
