Notwithstanding any prior confidentiality agreements between the Parties, which shall remain in effect, with respect to this Agreement, each of LIRUM and IGF shall use only in accordance with this Agreement, including without limitation, to develop and commercialize the Compounds and the Licensed Products, and shall not otherwise disclose to any Third Party, any of the other Party’s Confidential Information received by it pursuant to this Agreement without the prior written consent of the other Party.
In the event that LIRUM decides not to pursue, or to abandon or otherwise cease to maintain, one or more patents that constitute Licensed Patents in a given country or countries, it will notify IGF to that effect.
If applicable Laws require the withholding of any taxes from payments made to IGF hereunder, LIRUM shall make such withholding payments and shall subtract the amount thereof from the payments due IGF.
The auditors will be permitted to disclose to IGF only whether the royalty reports are correct or incorrect, and the details and amounts of any discrepancies.
