The Borrower, the Lenders party thereto and HPS, as administrative agent and collateral agent are entering into that certain Term Loan Credit Agreement, dated as of January 30, 2026 (as amended, restated, amended and restated, supplemented or otherwise modified from time to time, the “Credit Agreement”).
Each of the Lenders hereby irrevocably appoints HPS (or any successor appointed pursuant hereto) as Administrative Agent and authorizes the Administrative Agent to take such actions on its behalf (including in any insolvency or liquidation proceeding), including execution of the other Loan Documents, and to exercise such powers as are delegated to the Administrative Agent by the terms of the Loan Documents, together with such actions and powers as are reasonably incidental thereto.
To the extent the Manager violates the provisions of this Section 32(a), any such amounts collected by the Manager in violation hereof shall be held in trust by the Manager for the benefit of the HPS Agent and promptly turned over to the HPS Agent.
