Holdings Stock means (i) the shares of Holdings issued, granted, conveyed and delivered to Shareholders pursuant to the Merger as set forth in Section 1.3 hereof, and (ii) any and all other additional shares of capital stock of Holdings issued or delivered by Holdings with respect to the shares of Holdings Stock described in clause (i) hereof, including without limitation any shares of capital stock of Holdings issued or delivered with respect to such shares as a result of any stock split, stock dividend, stock distribution, recapitalization or similar transaction.
