Any stock options shall only be exercised in accordance with “The Bank Holdings Stock Option Plan” referenced and incorporated in this Agreement.

PKS will arrange for delivery of the shares of Class C Stock to be exchanged and will, if directed in writing by the holder of such shares of Class C Stock, deliver shares of PKS Holdings Stock and Class R Stock directly to such lending institution.
