Highest Annual Bonus definition

Highest Annual Bonus means an amount equal to the highest bonus or bonuses paid or payable to the Executive in any of the five most recently completed fiscal years prior to the Change in Control (or such shorter period that the Executive has been employed).
Highest Annual Bonus means the largest annual cash bonus paid to the Executive by the Company with respect to the three fiscal years of the Company immediately preceding the year containing the Change of Control Date or the Date of Termination, as applicable (annualized for any fiscal year consisting of less than 12 full months).
Highest Annual Bonus means an amount equal to the product of (i) the Executive's Annual Base Salary at the Date of Termination and (ii) the Highest Annual Bonus Percentage.

Examples of Highest Annual Bonus in a sentence

  • For purposes of this Agreement, “Pro Rata Bonus” shall mean an amount equal to the Highest Annual Bonus multiplied by a fraction, the numerator of which is the number of days elapsed in the fiscal year through the Termination Date and the denominator of which is 365.

  • The Executive shall be awarded an annual cash bonus for each fiscal year of the Company ending during the Effective Period at least equal to the Highest Annual Bonus.

  • The higher of the Recent Average Bonus or the most recent Annual Bonus awarded by the Company and its affiliated companies after the Effective Date is herein called the "Highest Annual Bonus".

Highest Annual Bonus means the highest annual Bonus or Bonuses paid (or, if not paid, the amount, if any, that would have been payable under the terms of the Profit Share Plan) to the Executive with respect to any of the last three fiscal years prior to the occurrence of any of the following events: an Involuntary Termination of Employment, a Change of Control or a Separation from Service due to Disability, Retirement or other voluntary termination of employment, as the case may be. Notwithstanding the prior sentence, a specific Bonus may be excluded from the calculation of a Participant’s Compensation if so determined by the Compensation Committee in its sole discretion and so designated at the time the Bonus is awarded.
Highest Annual Bonus means the greater of (a) the total cash award that would have been paid to the Executive under the Company’s Annual Management Incentive Plan for the performance year ended October 31, 2005 if the performance objectives for such performance year had been achieved at 100%, or (b) the total cash award paid or payable to the Executive under the Company’s Annual Management Incentive Plan as a result of the occurrence of a Change in Control in any performance year following the performance year that ended October 31, 2005. For purposes of this definition, the terms “performance year” and “performance objectives” shall have the meanings assigned to those terms under the Company’s Annual Management Incentive Plan.
Highest Annual Bonus means the higher of (i) the Executive's highest profit sharing bonus under the Company's profit sharing plan for the last three consecutive full fiscal years prior to the Effective Date (annualized in the event that the Executive was not employed by the Company for the whole of such fiscal year), or (ii) the annual bonus paid or payable, including any bonus or portion thereof which has been earned but deferred, for the most recently completed fiscal year (annualized in the event that the Executive was not employed by the Company for the whole of such fiscal year).
Highest Annual Bonus means the Annual Bonus paid or payable, including any bonus or portion thereof which has been earned but deferred (and annualized for any fiscal year consisting of less than twelve full months or during which the Executive was employed for less than twelve full months), for the most recently completed fiscal year during the Employment Period, if any; provided, that if the Annual Bonus for such fiscal year is determined pursuant to the terms of the EVA Plan, and the Executive's bonus declared pursuant to the EVA Plan for such fiscal year is higher than the Executive's bonus paid pursuant to the EVA Plan for such fiscal year, the Annual Bonus for such fiscal year shall be the Executive's bonus declared for such fiscal year.
