HGS TECHNOLOGY definition

HGS TECHNOLOGY means HGS Know-How and HGS Patents.
HGS TECHNOLOGY means any and all data, substances, processes, materials, formulae, know-how and inventions with respect to GENES and/or expression products thereof (including sequence and function) which are useful within the HGS FIELD, SB FIELD, and/or the field of HUMAN DIAGNOSTIC PRODUCTS, and which are developed by or on behalf of HGS during or prior to the INITIAL RESEARCH TERM and which are owned by HGS or with respect to which HGS has a right to grant a license. In the event HGS in-licenses from a THIRD PARTY a DRUG PRODUCT, ANTIBODY PRODUCT, THERAPEUTIC PROTEIN or HUMAN DIAGNOSTIC PRODUCT in each case discovered by a THIRD PARTY with no use of HGS TECHNOLOGY, such product and information generated by HGS directly related to the research and development of such product, shall not be HGS TECHNOLOGY.

  • In addition to the obligations of confidentiality set forth above in this Section 5.1, HPC and MEDIMMUNE each agree (i) not to publish LICENSED TECHNOLOGY or HPC TECHNOLOGY which is CONFIDENTIAL INFORMATION prior to a publication of HGS TECHNOLOGY by TIGR, and (ii) that investigators from TIGR shall be included as co-authors of such publications by HPC or MEDIMMUNE if reasonably warranted.
