On a quarterly basis, Competitive Supplier may, but is not required, to reduce the Guaranty Amount by the product of: (a) the ratio determined by dividing the total number of months remaining in the ESA by the total number of months in the initial term of the ESA times (b) the Guaranty Amount.
Should a Downgrade Event occur, the Town may request that Competitive Supplier provide cash or a Letter of Credit as a substitute form of security equal to the Guaranty Amount.
