Guaranteed Delivery Date definition

Guaranteed Delivery Date has the meaning set forth in Section 5.2.
Guaranteed Delivery Date means the dates specified in the Purchase Order in accordance with the Cell Delivery Schedule specified in Annexure B or any such other date which is mutually agreed between the Parties, by which date the agreed quantity of Cells is required to be delivered by Supplier at the Designated Delivery Point.
Guaranteed Delivery Date has the meaning set forth in Section 5.2. “Hazardous Materials” has the meaning set forth in Section 19.1. “Indemnified Party” has the meaning set forth in Section 15.1. “Indemnifying Party” has the meaning set forth in Section 15.1. “Infringement Claim Costs” means any and all judgments, damages, fines, awards, penalties, and interest associated with any of the foregoing, that, in each case, are finally awarded in a claim for which an Indemnifying Party is obligated to indemnify an Indemnified Party under Section 15.2 or 15.3, as applicable, and costs and expenses, including reasonable attorneys’ fees, court costs and other reasonable costs of suit, arbitration, dispute resolution or other similar proceedings, associated with such claim. “Integrated Solution” means an integrated, stationary, battery based energy storage solution, comprised of inverters, a control system including software, and electrical battery. Notwithstanding the foregoing, the following will not be considered Integrated Solutions:

Examples of Guaranteed Delivery Date in a sentence

  • A “Change Order” is a written instrument signed by the Parties and stating their mutual agreement upon a change in the obligations of the Parties under this Agreement or any Purchase Order, including if applicable the amount of the adjustment in the purchase price and the extent of any adjustment to the Delivery schedule, including the Guaranteed Delivery Date.

  • The Demonstration Period (defined herein) for the first Committed Capacity Test shall commence no earlier than six (6) months prior to the Capacity Delivery Date and testing must be completed by 11:59 p.m. on the date prior to the Guaranteed Delivery Date.

  • Neither the Purchase Order nor any milestone date contained therein, including the Guaranteed Delivery Date for the Equipment, may be changed unless the same has been modified by a duly executed Change Order.

  • The Demonstration Period (defined herein) for the first Committed Capacity Test shall commence no earlier than six (6) months prior to the Capacity Delivery Date and testing must be completed by 11:59 p.m. EST on the date prior to the Guaranteed Delivery Date.

  • In either case, such amounts shall be calculated at the end of each week after the applicable Guaranteed Delivery Date until the date of delivery of the applicable Component, and shall be credited to Buyer in accordance with Section no later than thirty (30) days thereafter.
